Subscription Term
Month-to-month subscription. Automatically renews each month until canceled.
Setup Fee
One-time setup fee. Non-refundable under all circumstances.
Intellectual Property
All templates, site files, and underlying IP remain owned by Vionis Agency.
Client receives usage rights only during an active subscription.
A full buy-out may be purchased for a one-time fee if Vionis chooses to offer it.
Scope of Service
Service includes hosting, security, plugin updates, domain management, and basic on-page SEO.
Two information-only updates per month.
Unused updates do not roll over.
Strict exclusions: no custom design, no visual changes, no marketing services, no blog unless purchased as a paid add-on.
Support is email-based only and limited to service-related issues.
Domain Ownership and Transfer
Domain is held under Vionis Agency's account for the duration of the active subscription.
Upon cancellation, the client may transfer the domain to their own personal registrar account.
Unclaimed or untransferred domains after cancellation will not be renewed at the one-year mark and will return to public availability.
Hosting, Outages, and Site Removal
Scheduled maintenance may cause brief outages.
Third-party outages are outside Vionis control.
If monthly payment fails, a 5-day grace period applies.
On day 6 of non-payment, the website goes offline until the balance is resolved.
Vionis has no responsibility for downtime caused by non-payment.
Cancellation
Client may cancel at any time.
Service remains active through the paid-through date.
Once canceled, hosting ends, domain transfer becomes the client's responsibility, and all site access is removed.
Refund and Proration Policy
Sites that go live mid-month are prorated for the remaining days of that month.
All future billing cycles are charged on the 1st of each month.
Service is billed in advance.
No prorated refunds for mid-month cancellations.
Data and Content Handling at Termination
Client may request an export of text-based content before termination.
Template, layout, and site structure are not transferable.
After termination, Vionis is not obligated to store or recover any site data.
Archived data, if any, is destroyed after 30 days.
Client Responsibilities
Client must provide accurate business information.
Client must keep payment information current.
Client must supply all content required for info-only updates.
Client is solely responsible for complying with industry-specific regulations, licensing, and legal disclosures.
Limitations
Vionis is not liable for outages, third-party failures, or issues arising from client-provided content.
No guarantee of traffic, ranking, or lead volume.
Maximum liability of Vionis is limited to one month of subscription fees.
Client indemnifies Vionis against any claims arising from their business operations or content.
Modification of Terms
Vionis may update this agreement at any time. Updates apply to the following billing cycle.
Governing Law
Agreement is governed by the laws of the State of Residence.
